The Company has a defined contribution plan covering substantially all of its employees. Benefits are based on a percentage of current earnings and matching of employee contributions. The Company suspended matching of employee contributions in 2016 from April through December. On December 22, 2017, the U.S. enacted the Tax Cuts and Jobs Act (the “Act”). The Act, which is also commonly referred to as “US tax reform”, significantly changes US corporate income tax laws by, among other things, reducing the US corporate income tax rate to 21% starting in 2018 and creating a territorial tax system with a one-time mandatory tax on previously deferred foreign earnings of US subsidiaries. As a result, the Company recorded a charge of $31.8 million during the fourth quarter of 2017. This amount, which is included in tax expense, consists of two components: (i) a $1 million expense relating to the mandatory deemed repatriation of post-1986 undistributed foreign earnings and profits (E&P) of certain non-US subsidiaries, and (ii) a $30.8 million expense resulting from the re-measurement of the company’s net US deferred tax assets based on the new lower US federal income tax rate. However, since the Company’s deferred positions are fully valued, the changes associated with the Act does not have a material impact on total tax expense.
