“Because each application is different, expenses can vary. Some markets don’t require you to secure real estate, to have blueprints or drawings of your facility, or to have zoning approval. Some do. Some requirements can be met at little to no expense. Others need to be done by a third party and can drive the cost up. If you have a complicated [business] structure, your attorney fees are generally more expensive than if you are a sole individual.

Abstract: A vehicle includes a side member that extends in a vehicle longitudinal direction. A rocker support extends in the vehicle longitudinal direction and is spaced outboard of the side member in the vehicle lateral direction. A C-pillar assembly is coupled to and extends upward from the rocker support. A floor cross member extends in a vehicle lateral direction that is connected to the side member. A pillar assembly to floor cross member reinforcement gusset links the C-pillar assembly and the floor cross member.

Shaked: We have a fully automated irrigation system that controls water quality, nutrient supply and irrigation cycles. We also have different sensors that accumulate data, which is analyzed by the system. [It] receives its own feedback and can correct itself. Our climate control system monitors humidity, temperature, air flow, blackout systems, etc. Our light control is based on solar sensors that can turn on lights to deliver the amount of light the plants need to receive. All our systems are synchronized via a computer. When a high level of solar radiation is detected, the irrigation system will reduce the amount of nutrients, supply more water and the air flow/cooling system will adjust itself accordingly. We have recently introduced [automation] of our harvesting and oil extracting systems and are currently developing new technical innovation for our industry.

On January 25, 2011, PAO TMK entered into a loan agreement, or the 2011 Loan Agreement, with TMK Capital S.A., or TMK Capital, a special purpose vehicle of PAO TMK, in connection with the 7.75% loan participation notes due 2018, or the 2018 Notes, issued by TMK Capital under which we were a guarantor. As of June 30, 2018, there were no outstanding borrowings under the 2011 Loan Agreement. On January 29, 2018, the 2018 Notes were fully repaid.

On a Saturday in October, two days before he was set to reopen, Varsano invited me to a late dinner with two of his friends at a restaurant in Berkeley Square that was reserved through 2018. Our welded OCTG include tubing and casing in various grades that range in outside diameter from 2.375 to 16.000 inches. Our welded pipe production facilities have a total of approximately 1,000,000 tons of annual capacity. Based upon our annualized fourth quarter 2017 production, our annual production of welded OCTG would be 482,000 tons, which results in a 48% utilization of our nameplate capacity. This spare capacity provides us with the ability to increase production of welded OCTG in the future without capital expenditures. We produce our welded OCTG using hot-rolled coils via ERW. In the ERW process, the edges of the steel strip are heated up by the welding current, and the two sides of the strip are forged together and welded before the heat has time to dissipate. The excess melted material is then removed from the outside and inside of the pipe.
