On July 25, 2014, Ultra entered into a license agreement with TMK Premium Services, or TMK Premium, pursuant to which Ultra granted to TMK Premium a non-exclusive license for the use of connections “know-how” in exchange for a pay-per-use fee. As of December 31, 2017, we had $201.1 million of net operating loss carryforwards available to reduce future taxable income. U.S. federal and state income tax laws limit the amount of these carryforwards we can use in any given year to offset our taxable income following an “ownership change” (generally defined as a greater than 50% cumulative shift of the stock ownership of certain “5% stockholders” over a rolling three-year period), including ownership changes due to the issuance of additional shares of our common stock, or securities convertible into our common stock. As discussed in Note 18, in January 2018, TMK Capital S.A. fully repaid the outstanding balance of the 7.75% loan participant notes due 2018. The Company is no longer a guarantor of those participation notes.

Fiberglass filtration media is formed in part by controlling the speed of a melter traversing a drum. The fiberglass media passes through rollers and water sprays before it enters a curing apparatus. Progressive density changes from the air intake side to the air exit side of the media result in increased filtration qualities.
